Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of Ironwood and related websites, applications, portals, communications, and services (collectively, the “Services”) provided by Adroited LLC (“we,” “us,” or “our”).

Please read these Terms carefully. If you create an account, accept an order, use a portal, sign a document through the Services, or otherwise use the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind it.

1. Accounts and authorized users

You must provide accurate account information, keep credentials confidential, and promptly notify us of suspected unauthorized access. The subscribing organization (“Customer”) controls its workspace, users, roles, permissions, locations, portals, and connected services. Customer is responsible for its authorized users and for promptly removing access when it is no longer appropriate.

You must be at least 18 years old and legally able to enter a contract. Customer may permit customers, employees, contractors, signers, and other invited users to access limited portal or workflow features. Customer is responsible for deciding who should receive access and what information they may see.

2. The Services

The Services provide business-management tools for leads, customers, properties, field work, estimates, agreements, documents and electronic signatures, scheduling, communications, employees, contractors, equipment, expenses, invoicing, accounting workflows, payroll workflows, reports, portals, automations, and integrations. Features may vary by plan, configuration, location, provider availability, and release stage.

We may improve or modify the Services. We will not materially reduce paid core functionality during a current subscription term without reasonable notice, except where needed for security, law, provider changes, or prevention of harm.

3. Customer data and responsibilities

Customer retains its rights in information, files, communications, and content submitted to the Services (“Customer Data”). Customer grants us a limited right to host, copy, transmit, process, display, and otherwise use Customer Data as necessary to provide, secure, support, and improve the Services and meet legal obligations.

Customer represents that it has all rights, notices, consents, and lawful bases needed to submit and use Customer Data. Customer is responsible for the accuracy and legality of its records; employment and contractor practices; payroll and tax filings; permits and safety decisions; customer pricing and promises; call recording notices; email and text-message consent; document content; retention obligations; and responses to people exercising privacy rights.

4. Acceptable use

You may not use the Services to:

  • violate law, another person’s rights, or contractual obligations;
  • send deceptive, unlawful, abusive, or unsolicited communications;
  • upload malware, exploit vulnerabilities, bypass permissions, probe other tenants, or interfere with availability;
  • access an account or record without authorization, scrape the Services, or reverse engineer them except where law expressly permits;
  • submit information you are not entitled to process, including regulated or highly sensitive information unless the Services and your agreement expressly support it; or
  • use automated output as the sole basis for unlawful discrimination or a consequential decision requiring qualified human review.

5. Communications

Customer may connect its own email, phone, and messaging providers and instruct the Services to send messages. Customer—not the platform—determines recipients, content, timing, and legal basis for those communications. Customer must comply with applicable marketing, telemarketing, call-recording, and consent laws; maintain accurate sender identification; honor opt-outs; and avoid contacting numbers or addresses without appropriate permission.

You agree to receive transactional communications needed to operate your account or complete requested transactions. Consent to marketing is not a condition of purchasing the Services, and marketing preferences may be withdrawn as described in the message or our Privacy Policy.

6. Electronic records and signatures

The Services may allow parties to prepare, send, receive, and sign electronic records. By intentionally applying an electronic signature or confirming an electronic record, you consent to conduct that transaction electronically and agree that your electronic action may have the same effect as a handwritten signature, subject to applicable law. You are responsible for reviewing the complete record before signing and for downloading or retaining a copy.

Customer is responsible for deciding whether a document is appropriate for electronic signature, identifying signers, establishing signing order, obtaining any required consumer consent, and preserving required records. We do not determine whether a document is legally sufficient or whether an individual had authority to sign.

7. Automations, estimates, and professional decisions

Routes, schedules, quotes, margins, payroll calculations, tax information, equipment recommendations, field guidance, reports, AI-assisted content, and automation results may be incomplete or inaccurate. They are operational aids, not legal, tax, payroll, accounting, engineering, arborist, medical, safety, or other professional advice. Customer must review consequential output, maintain appropriate professionals and insurance, and follow applicable laws, manufacturer instructions, industry standards, and site conditions.

8. Third-party services

Integrations and external links are provided for convenience. Third-party services are governed by their own terms, privacy notices, pricing, availability, and security. Customer authorizes us to exchange data with connected providers as directed. We are not responsible for a third party’s acts, omissions, service interruption, changed API, or decision to suspend an account. Disconnecting an integration does not necessarily delete information already transferred to that provider.

9. Fees, subscriptions, and taxes

Paid Services are billed according to the applicable order, plan, or checkout page. Unless stated otherwise, fees are due in advance, non-refundable except where law requires, and exclusive of taxes. Customer authorizes recurring charges for the selected subscription until cancellation. Plan changes, usage charges, renewal, and cancellation take effect as described at purchase or in account billing settings. Customer is responsible for applicable sales, use, withholding, and similar taxes other than taxes on our net income.

10. Intellectual property and feedback

We and our licensors retain all rights in the Services, software, designs, documentation, templates, and platform content, excluding Customer Data. Subject to these Terms and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable right to use the Services during its subscription for its internal business operations.

If you provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing Customer Data.

11. Confidentiality

Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform under these Terms and protect it with reasonable care. This does not cover information independently developed, lawfully received without restriction, already known without duty, or made public without breach. A legally compelled disclosure may be made after notice when legally permitted.

12. Privacy and security

Our Privacy Policy explains our privacy practices. We use safeguards designed to protect the Services, but no network or storage system is perfectly secure. Customer must use appropriate access controls, devices, passwords, backups, and internal procedures. Customer should promptly report suspected security incidents to support@adroited.com.

13. Suspension and termination

We may suspend access when reasonably necessary to address nonpayment, security risk, unlawful use, material breach, provider restrictions, or harm to the Services or others. Where practical, we will provide notice and an opportunity to cure. Either party may terminate as allowed by the applicable order or subscription settings.

Upon termination, Customer’s access ends. We may provide a reasonable period to export available Customer Data, after which data may be deleted according to our retention practices, legal duties, backups, and the applicable agreement. Sections that by their nature should survive—including payment obligations, intellectual property, disclaimers, liability limits, and dispute provisions—will survive.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR A PARTICULAR LEGAL OR REGULATORY PURPOSE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY THAT CANNOT LAWFULLY BE EXCLUDED.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR PAYMENT OBLIGATIONS, MISUSE OF THE OTHER PARTY’S INTELLECTUAL PROPERTY OR CONFIDENTIAL INFORMATION, INDEMNITY OBLIGATIONS, FRAUD, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY’S TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE FEES CUSTOMER PAID OR OWED FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

Customer will defend and indemnify us and our personnel against third-party claims, damages, and reasonable costs arising from Customer Data, Customer’s communications or services, Customer’s violation of law or these Terms, or use of the Services beyond the authorization granted here. We will provide reasonable notice and cooperation, and Customer may control the defense subject to our right to participate and to approve any settlement that admits our fault or imposes obligations on us.

17. Governing law and disputes

Florida law governs these Terms without regard to conflict-of-law rules. The state courts located in Sarasota County, Florida and the federal courts serving Sarasota County will have exclusive jurisdiction, and each party consents to that venue. Before filing a claim, the parties will attempt in good faith for at least 30 days to resolve it through written notice, unless immediate injunctive relief is reasonably necessary. These Terms do not require arbitration or waive a right to participate in a class action.

18. General terms

Neither party is liable for delay caused by events beyond reasonable control. Customer may not assign these Terms without our consent, except with a merger or sale of substantially all assets; we may assign them in connection with a reorganization or sale. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum necessary and the rest remains effective. These Terms, the Privacy Policy, the applicable order, and any signed addendum are the entire agreement for the Services; a signed addendum controls over conflicting general Terms.

19. Changes and contact

We may update these Terms. We will post the revised version with a new effective date and provide additional notice of material changes when required. Continued use after the effective date constitutes acceptance where permitted by law. Questions or legal notices may be sent to support@adroited.com.
